1.1 Holdsport.dk ApS operates a number of online tools for use in sports activities etc. The online tools contain a wide range of features. One of these is “Holdsports Billetsalg”, or simply “Billetsalg.”
1.2 Holdsports Billetsalg makes it possible for Organizers to easily sell tickets to events. The role of Holdsports Billetsalg is to facilitate such sales.
1.3 These terms address what applies when an Organizer and a Buyer enter into an agreement via Holdsports Billetsalg, and the obligations of Holdsport.dk ApS in that connection.
1.4 By using Holdsports Billetsalg, the Organizer accepts the terms below and the other relevant terms, including the personal data policy.
1.5 The Organizer is at all times liable to the Buyer in accordance with applicable legal rules and standards. It is the Organizer's responsibility to act in accordance therewith, and to keep itself informed about applicable law. If an Organizer fails to comply with this, Holdsport.dk ApS may suspend the Organizer's access to use Holdsports Billetsalg.
1.6 Please note that you, as Organizer, may set terms and guidelines for an event. Holdsport.dk ApS has no influence over this and cannot be held liable in any way in that respect. This also applies if the Buyer files a complaint about the quality of the event, regardless of which part is being complained about.
1.7 As an intermediary, Holdsport.dk ApS is only liable in the customer relationship between the original Buyer and Holdsport.dk ApS: As an intermediary, Holdsport.dk ApS is not liable in relation to any part of the event itself, including anything preceding or following the date of the event.
1.8 Complaints about any errors, defects, or other matters connected with the event must be raised by the Buyer directly with the Organizer. Holdsport.dk ApS is not liable for any part of the delivery of the event itself purchased via the Holdsport ticket portal, nor can it act as intermediary in correspondence between the Buyer and the Organizer regarding this.
1.9 Holdsport is operated by:
Holdsport.dk ApS2.1 Holdsports Billetsalg may be used by all clubs affiliated with Holdsport.dk ApS. Outside Denmark, however, Holdsports Billetsalg may only be used by PRO clubs. Read more about this at www.holdsport.dk.
2.2 Holdsports Billetsalg may only be used for the sale of the following services:

2.4 Holdsport.dk ApS bears no liability if Holdsports Billetsalg is used for the sale of services or products in breach of these terms. In the event of repeated violations of the above, the Organizer's (seller's) account may be suspended.
2.5 Both Holdsport.dk ApS and the Organizer make ordinary reservations for errors, defects and typographical errors, and in cases where an event is sold out.
3.1 The ticket is sent exclusively by electronic means. The ticket is sent to the e-mail address used. Holdsport.dk ApS does not issue tickets printed to a specific person. It is the Buyer's obligation to ensure that the e-mail address is correctly entered. Holdsport.dk ApS bears no responsibility in this connection and cannot resend purchased tickets. The Organizer has the option to resend sold tickets to the Buyer.
3.2 Commercial resale of tickets purchased on Holdsports Billetsalg is not permitted, and for all resale, sale at a price above face value is prohibited under applicable law.
3.3 The Buyer may use the following payment methods:
3.4 Payment cannot be made with physical payment methods. A purchase agreement is only finally concluded when Holdsport.dk ApS has received and registered the Buyer's payment.
3.5 For events where the Buyer is or may be an ordinary consumer, the ticket price, fees and any other costs must be stated inclusive of VAT.
3.6 Any card fees are added to the purchase price and are borne either by the Buyer or the Organizer depending on the Organizer's terms for the individual event.
3.7 The Danish Consumer Contracts Act (forbrugeraftaleloven), or equivalent legislation outside Denmark, does not as a general rule apply to the purchase of tickets for events. Once a purchase has been completed, it can therefore normally not be withdrawn – the agreement has been concluded on a binding basis.
3.8 If, wholly exceptionally, the purchased service contains something other than access to an event, it is possible that this service may be covered by the right of withdrawal under the Consumer Contracts Act. Since the purchase of the service involves an agreement between the Organizer and the Buyer, this matter is of no concern to Holdsport.dk ApS. The exercise of any right of withdrawal must therefore be raised against the Organizer.
3.9 Holdsport.dk ApS charges a fee for the ticket purchase. The fee is displayed via the portal when the ticket is purchased. When the purchase has been completed, Holdsport.dk ApS has delivered the service covered by the agreement between the Buyer and Holdsport.dk ApS – Holdsport.dk ApS has thereby fulfilled the obligation that Holdsport.dk ApS has under the agreement. The fee will therefore not be refunded in cases where the event – regardless of the reason – is not carried out in whole or in part.
4.1 Access to the event takes place in accordance with the Organizer's guidelines.
4.2 It is important that the Buyer has familiarised themselves with the Organizer's guidelines before the event, and that the Buyer keeps up to date on an ongoing basis with, and follows, the Organizer's guidelines. These may, for example, concern behaviour at the event, and prohibitions on bringing particular items or food or drink. If the Buyer is expelled from the event due to a breach of the guidelines, the Buyer cannot file a complaint against the Organizer and demand a refund or assert any other remedy for breach. A corresponding claim cannot be raised against Holdsport.dk ApS either.
4.3 The ticket contains a QR code. As Organizer, you may use the Holdsport.dk ApS app to scan the QR code as a condition for access to an event. It is the Buyer's responsibility to bring the QR code in readable form, either printed or digital. Each ticket only grants access for one person, and contains only one QR code.
4.4 Unlawful copying or resale of tickets may result in the Buyer being denied access to the event. Holdsport.dk ApS or the Organizer bears no liability for problems arising from unlawful copying and/or resale of tickets.
5.1 For the sale of tickets in Denmark, the Organizer has two options as regards the payout of proceeds:
5.2 For the sale of tickets outside Denmark, payouts of the proceeds take place 5-7 business days after the event has been held.
5.3 During holiday periods, settlement may take place later, expected to be up to 5-7 additional business days.
5.4 The proceeds are paid out to the bank account provided by the Organizer.
5.5 In the event of the Organizer's breach, bankruptcy, suspension of payments or the like, Holdsport.dk ApS withholds the proceeds, or the proceeds outstanding at any time, until the outstanding matters have been clarified, including the terms for payout to the proper creditor or bankruptcy trustee.
5.6 The Organizer should be aware that the Organizer may incur particular penal and/or compensation liability if refunds are not made for cancelled events. Holdsport.dk ApS therefore recommends that the Organizer familiarise itself with the relevant rules applicable to Organizers of events for the respective territory.
6.1 In the event of cancellation of, or changes to, the event, the Buyer is referred to the responsible Organizer for further information and any refund.
6.2 It is the Organizer's responsibility to inform the Buyer about material changes or cancellations, and the Organizer is recommended to do so without undue delay.
6.3 The Organizer has a limited right to make changes to the programme, including as regards duration and content. In the case of objective, material changes, the general rules of the Danish Sale of Goods Act (købeloven) apply, and the Buyer is referred to seek dialogue with the Organizer regarding any refund.
6.4 Partial fulfilment of an event will not normally constitute a cancellation.
6.5 As an intermediary, Holdsport.dk ApS has no liability towards the Buyer in the event that the Organizer breaches the agreement with the Buyer. This is exclusively a matter between the Buyer and the Organizer.
6.6 Examples include errors and defects concerning technology, content, the framework for an event etc., but also the Organizer's insolvency, if the Organizer is, or becomes subject to, restructuring, suspension of payments, bankruptcy, or wholly or partial cancellation of events.
6.7 In all the above cases, the Organizer, or its representative, must be contacted.
6.8 Neither the Organizer nor Holdsport.dk ApS can be held liable for any consequential costs related to a change, e.g. a change of date, or cancellation. This may, for example, include costs for travel, accommodation, meals, or loss of earnings.
7.1 The Organizer warrants that it has obtained all relevant rights in connection with the event. This applies both in relation to sales, marketing, holding of the event and in connection with subsequent coverage etc.
7.2 Rights may, for example, include copyrights, other image or trademark rights, marketing law matters, and personality rights, e.g. in connection with the use of images in marketing etc.
7.3 In the same way, the Organizer is responsible for ensuring that the material used, whether in images, text, video or another format, does not appear offensive or infringing on the basis of an ordinary contemporary assessment, or on the basis of an assessment under applicable law. Holdsport.dk ApS reserves both the right to remove content that Holdsport.dk ApS finds offensive, and the right to assert any liability for the use against the Organizer.
7.4 The Organizer is liable for all infringements of rights in this connection, and shall indemnify Holdsport.dk ApS in every respect. If Holdsport.dk ApS has been required to pay for rights used by the Organizer, and rights used by third parties in connection with the event online in a manner that causes Holdsport.dk ApS to become liable therefor, Holdsport.dk ApS will demand that this cost be covered by the Organizer, together with payment for time spent at Holdsport.dk ApS on handling the matter. This may take place by way of set-off against the proceeds, or upon demand made to the Organizer.
8.1 For use in the transactions, Holdsport.dk ApS only stores the necessary data. This storage of data is governed by our general personal data policy, which can be accessed on the Holdsport.dk ApS website.
8.2 In order to ensure fast and precise communication and support of the users, Holdsport.dk ApS may use automated tools, including OpenAI's ChatGPT and related tools, to analyse and answer inquiries from you and other users. We use the dialogue with all users as a basis for developing these tools. The dialogue with the users is anonymised in connection with this use. As a user, you consent to this use.
9.1 The agreement is governed by the general rules of Danish law.
9.2 It is not permitted to use automatic purchasing tools or automated software of any kind, including robots, for the purchase of tickets.
9.3 These terms will be adjusted from time to time. This takes place without prior notice, but the new terms will only apply to new events that are offered for sale after the new terms come into force.
9.4 Any dispute in relation to Holdsport.dk ApS' delivery is decided under Danish law by the District Court of Aarhus (Byretten i Aarhus), Denmark.
